General Terms of Service
GENERAL TERMS OF SERVICE

Thank you for your interest in ContractScope, Inc. d/b/a InsureScope (referred to as "InsureScope", “Company,” "us", "we", or "our" as the context may require). These General Terms of Service (the "Terms"), our Privacy Policy, and, if applicable, your Subscription Agreement from InsureScope serve as the agreement between you and us (collectively, the Agreement), and set forth the terms and conditions by which you may access and use the InsureScope website and web application (the "Site"), and our related services, products, and content (together with the Site, collectively referred to as the "Services").
BY USING THE SERVICES, WHETHER THROUGH YOUR COMPUTER OR A MOBILE DEVICE, YOU AFFIRM THAT YOU ARE OF LEGAL AGE, AND YOU ACCEPT AND ARE BOUND BY THESE TERMS, THE PRIVACY POLICY, AND IF APPLICABLE ANY SERVICE-SPECIFIC OR SUBSCRIPTION AGREEMENT WHICH IS INCORPORATED BY REFERENCE (COLLECTIVELY, THE "AGREEMENT").
YOU MAY NOT SUBSCRIBE TO OR USE THE SERVICES IF YOU (A) DO NOT AGREE TO THE AGREEMENT, (B) ARE NOT THE OLDER OF (i) AT LEAST 16 YEARS OF AGE OR (ii) LEGAL AGE TO FORM A BINDING CONTRACT WITH INSURESCOPE, OR (C) ARE PROHIBITED FROM USING THE SERVICES, OR PURCHASING ANY OF THE SERVICES, BY APPLICABLE LAW.
PLEASE REVIEW THE DISPUTE RESOLUTION PROVISION SET FORTH BELOW CAREFULLY. YOU ARE REQUIRED TO RESOLVE DISPUTES WITH INSURESCOPE ON AN INDIVIDUAL BASIS THROUGH ALTERNATIVE DISPUTE RESOLUTION methods, including but not limited to final and binding arbitration. BY ENTERING INTO THESE TERMS, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU HAVE READ AND UNDERSTAND THE TERMS OF THE AGREEMENT AND THE CONSEQUENCES THEREOF.
These Terms may be modified without prior written notice at any time, in our sole discretion. Any changes to the Terms will be in effect as of the "Last Modified" date referenced above. We will use commercially reasonable efforts to generally notify all users of any material changes to these Terms, such as through a notice on our Site; however, you should review the Terms regularly for such changes. Your continued use of the Services after the "Last Modified" date will constitute your acceptance of and agreement to such changes.
1 Privacy Policy
Your use of our Services is subject to our Privacy Policy. Our Privacy Policy describes how we process personal information, including the types of personal information that we collect, the purposes for which we use it, the types of third parties with whom we share it, and any rights you may have with respect to such personal information. The Privacy Policy also sets forth the types and categories of personal information you are permitted to provide InsureScope, and your responsibilities and obligations with respect to such personal information. Please review our Privacy Policy carefully. For the avoidance of doubt, any claims, suits, or complaints related to the Privacy Policy shall be settled or otherwise addressed in accordance with the dispute resolution terms, all other terms and conditions and subject to the limitations of liability, set forth herein or in your contract to use the services from InsureScope. InsureScope is based in Cleveland, Ohio, United States, and the personal information that we collect and process is retained and stored in the United States.
2 Accessing Services and Account Security
To access the Services, you may be required to enter into a Subscription Agreement and provide certain registration details or other information to create an account. It is a condition of your use of the Services that all the information you provide is correct, current, and complete. If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You acknowledge that your account is personal to you and agree not to provide any other person with access using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You agree that you are solely responsible (to us and to others) for the activity that occurs under your account. We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.
3 Subscription and Payment
InsureScope is a business-to-business (B2B) Software as a Service (SaaS) platform that requires payment for access. By subscribing to InsureScope, you agree to pay all fees identified in your Subscription Agreement. Fees are payable in advance according to the billing schedule presented to you at the time of purchase. You may be required to provide a valid payment method to complete your subscription. Unless otherwise stated, all fees are quoted in U.S. Dollars. You are responsible for paying all fees and applicable taxes associated with your use of the Services in a timely manner with a valid payment method. If your payment method fails or your account is past due, we may collect fees using other collection mechanisms, and your access to the Services may be suspended or terminated. Unless otherwise agreed to in writing by us, all subscriptions will automatically renew for successive periods matching your initial subscription period unless you cancel your subscription as required by your Subscription Agreement. We reserve the right to change our subscription fees at any time but will notify you in advance of any fee increase and the timing of any applicable fee increase will be governed by your Subscription Agreement If you do not agree to a fee increase, you may cancel your subscription before the increase takes effect.
4 License to Use Services
Upon your subscription to InsureScope, ContractScope grants you a non-exclusive, non-assignable, non-transferable and limited license to use Services. You also may not use the Service in a time-sharing arrangement, or in any other unauthorized manner. Further, no license is granted to you in the human readable code of the Service (source code). Except as provided below, this Agreement does not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other rights in the Service or its contents.
You agree that you have no right, power, or authority to make any modifications to or unauthorized copies of the Service. On any copies or exports from the Service, you must reproduce and include all copyright notices and any other proprietary rights notices appearing on the Service or its contents.
5 Intellectual Property Rights; Ownership of Content
The Services and its entire contents, features, and functionality (including but not limited to the "look and feel" of the Site, all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ContractScope/InsureScope, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms permit you to use the Services for your business purposes in accordance with these Terms.
You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows: (i) your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials, (ii) you may store files that are automatically cached by your web browser for display enhancement purposes, (iii) you may print or download one copy of a reasonable number of pages of our Site for your own business use and not for further reproduction, publication, disclosure, or distribution, (iv) if we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own business use, provided you agree to be bound by these Terms, as well as any other end-user agreement for such applications.
You hereby acknowledge and agree that you will not (i) modify copies of any materials from our Services, (ii) use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text, (iii) delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from our Site, and (iv) access or use for any commercial or competitive purposes any part of our Services beyond their intended functionality. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Services in breach of the Terms, your right to use the Services will stop immediately and you must, at our option, return or destroy any copies of the materials you have made.
No right, title, or interest in or to the Services is transferred to you, and all rights not expressly granted are reserved by ContractScope/InsureScope. Any use of the Services not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.
The ContractScope and InsureScope name, logo, and all related names, logos, product and service names, such as CompareInChart, designs, and slogans are trademarks of ContractScope/InsureScope or its affiliates or licensors. You must not use such marks without the prior written permission of ContractScope/InsureScope. All other names, logos, product and service names, designs, and slogans on our Site are the trademarks of their respective owners.
6 User Content and Documents
6.1 Document Upload and Analysis
The Services allow you to upload insurance policy documents, contracts, and other materials ("User Content") for analysis by our AI technology. When you upload User Content to the Services:
You retain all ownership rights to your User Content.
You grant us a non-exclusive, worldwide, royalty-free license to use, store, reproduce, process, adapt, and display your User Content solely for the purpose of providing and improving the Services or developing new services.
You represent and warrant that you have all necessary rights to grant us this license and that your User Content does not violate these Terms or infringe on the rights of any third party.
6.2 Clauses, Clause Checklists, Customization, and Guidance
The Services provide a curated clause library, standard or recommended clause checklists and allow you to create custom clauses, clause checklists, and comparison tools. We also provide guidance through clauses, clause checklists, and comparative analysis (which we call "scopes"). You expressly acknowledge and agree that:
All guidance, standard clauses, checklists, scopes, and analyses provided by ContractScope/InsureScope are for reference and informational purposes only and must be reviewed by qualified legal and insurance professionals before any business decisions are made.
Custom clause checklists created by you or for you pursuant to your Subscription Agreement remain your property, but ContractScope/InsureScope is granted a non-exclusive, worldwide, royalty-free license to use, store, reproduce, process, adapt, and display them as necessary to provide or improve the Services or develop new services.
Results and guidance generated through our AI technology's analysis are provided for informational purposes only and should not replace professional legal advice or review by an insurance professional or attorney.
ContractScope d/b/a InsureScope is not a law firm and does not provide legal advice or legal services. The accuracy and completeness of any guidance or analysis is not guaranteed.
DO NOT RELY ON THESE SERVICES FOR MEDICAL, LEGAL, FINANCIAL, OR OTHER PROFESSIONAL ADVICE. ANY CONTENT OR SERVICES ARE PROVIDED FOR INFORMATIONAL AND REFERENCE PURPOSES ONLY AND ARE NOT A SUBSTITUTE FOR THE ADVICE OR SERVICES OF AN ATTORNEY, INSURANCE PROFESSIONAL, OR OTHER QUALIFIED PROFESSIONAL.
7 Permitted Uses; Prohibited Uses
7.1 Lawful Purposes
You may use the Services only for lawful purposes and in accordance with these Terms and your Subscription Agreement. You are responsible for compliance with applicable laws, regulations, rules and legal requirements. You agree not to import or export documents or content or utilize the Services in a way that violates the applicable laws or regulations or your own legal obligations.
7.2 Prohibited Uses
You agree not to use the Services: (i) in any way that violates any applicable federal, state, local, or international law or regulation, (ii) for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or asking them for personally identifiable information, (iii) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with the terms set out in these Terms, (iv) to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation, (v) to impersonate or attempt to impersonate InsureScope, any InsureScope employee, another user of the Services, or any other person or entity, (vi) to collect or share any personal information that is linked or can be reasonably linked to a consumer that identifies past, present or future physical or mental health status, or (vii) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm InsureScope or users of the Services, or expose them to liability.
Additionally, you agree not to: (i) use the Site in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Site, (ii) use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Services, (iii) use any manual process to monitor or copy any of the material on the Site, or for any other purpose not expressly authorized in these Terms, without our prior written consent, (iv) use any device, software, or routine that interferes with the proper working of the Site, (v) introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful, (vi) attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which a Site is stored, or any server, computer, or database connected to the Site, (vii) attack the Site via a denial-of-service attack or a distributed denial-of-service attack, (viii) modify, translate, reverse engineer, decompile, disassemble, or create derivative works of the Service (ix) otherwise attempt to interfere with the proper working of the Services; and (x) otherwise engage in conduct or direct others to engage in conduct that violates, infringes upon or damages the intellectual property and ownership rights of ContractScope/InsureScope.
You agree not to assist, facilitate, or direct anyone else to engage in any of the above-described Prohibited Uses.
8 AI Technology and Service Limitations
8.1 AI Processing Limitations
The Services utilize artificial intelligence technology to analyze insurance and other documents. You acknowledge and agree that:
AI technology has inherent limitations and the analysis provided by the Services is not guaranteed to be error-free or complete.
The accuracy of AI analysis depends on the quality and format of the documents you upload.
AI-generated comparisons and analyses should be reviewed by qualified professionals before making business decisions.
8.2 Service Availability
While we strive to provide uninterrupted access to the Services, you acknowledge that:
The Services may be unavailable from time to time for maintenance or other reasons.
We reserve the right to modify, suspend, or discontinue the Services at any time with or without notice.
We shall not be liable for any Service unavailability, modification, suspension, or discontinuation.
9. Disclaimer of Warranties
THE INFORMATION PRESENTED ON OR THROUGH THE SERVICES MAY CONTAIN ERRORS AND IS PROVIDED SOLELY FOR INFORMATION AND REFERENCE PURPOSES. THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. COMPANY SPECIFICALLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THE SERVICES.
THE SERVICES AND CONTENT WITHIN THE SERVICES ARE FOR INFORMATIONAL AND REFERENCE PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL, LEGAL, OR FINANCIAL ADVICE. YOUR USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT YOUR OWN RISK. ANY RELIANCE YOU PLACE ON THE SERVICES OR CONTENT IS STRICTLY AT YOUR OWN RISK. WE DISCLAIM ALL LIABILITY AND RESPONSIBILITY ARISING FROM ANY RELIANCE PLACED ON SUCH MATERIALS BY YOU OR ANY OTHER VISITOR TO THE SERVICES, OR BY ANYONE WHO MAY BE INFORMED OF ANY OF ITS CONTENTS. The Services may include content provided by third parties, including materials provided by other users and third-party licensors, syndicators, aggregators, vendor, and/or service providers. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by us, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of ContractScope/InsureScope. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH COMPANY REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our Site for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE, AND YOU WILL NOT SEEK TO HOLD US LIABLE, FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DEVICE, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ANY SERVICES, INFORMATION, OR ITEMS OBTAINED THROUGH THE SITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
10. No Assignment; No Transfer
You agree not to transfer or assign the Services and/or this Agreement to another party without the prior written consent of ContractScope.
11. Limitation on Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL CONTRACTSCOPE/INSURESCOPE, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OWNERS, OFFICERS, AND DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. IN THE EVENT THE FOREGOING LIMITATION OF LIABILITY IS LEGALLY PROHIBITED, THEN TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF CONTRACTSCOPE/INSURESCOPE AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OWNERS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED THE AMOUNT YOU HAVE PAID TO CONTRACTSCOPE/INSURESCOPE FOR THE SERVICES IN THE LAST 12 MONTHS.
12. Indemnification; Governing Law; Jurisdiction
12.1 Indemnification
You agree to fully and completely defend, indemnify, and hold harmless ContractScope/InsureScope, its affiliates, licensors, and service providers, and its and their respective officers, owners, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, the Privacy Policy, or the Subscription Agreement or your use of the Services, including, but not limited to, your User Content or any use of the Site's content, services, or products other than as expressly authorized in these Terms.
12.2 Governing Law
Unless otherwise prohibited by Privacy laws, these Terms (including the Privacy Policy and if applicable, the Subscription Agreement) shall be governed by the Defend Trade Secrets Act of 2016, or if inapplicable, with the laws of the State of Ohio, govern this Agreement, without regard to its conflicts of law principles.
12.3 Jurisdiction
You consent to the personal jurisdiction of all courts in Cuyahoga County, Ohio, including the U.S. District Court for the Northern District of Ohio, with respect to any action to enforce this Agreement.
13 Waiver of Class Action; Arbitration Agreement
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND CONTRACTSCOPE/INSURESCOPE AGREE TO RESOLVE ANY CLAIM, DISPUTE OR CONTROVERSY ARISING FROM OR RELATING IN ANY WAY TO YOUR USE OF THE SERVICES, INCLUDING YOUR SUBSCRIPTION TO THE SERVICES, EXCLUDING ANY CLAIM, DISPUTE OR CONTROVERSY THAT QUALIFIES FOR SMALL CLAIMS COURT, EXCLUSIVELY AND FINALLY BY BINDING, BILATERAL ARBITRATION BEFORE A NEUTRAL ARBITRATOR RATHER THAN IN COURT BY A JUDGE OR A JURY. This agreement to arbitrate is intended to be broadly interpreted and expressly includes claims brought under any statute, regulation, or legal or equitable theory. Arbitration Rules. Before a party initiate arbitration, the parties agree to attempt to resolve any dispute amongst themselves by the party seeking to initiate arbitration providing notice of the dispute to the other party and the parties meeting to discuss a possible resolution before proceeding to filing arbitration. The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Consumer Arbitration Rules (the "AAA Rules") then in effect, except as modified by this section. The Federal Arbitration Act will govern the interpretation and enforcement of this section. The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or the agreement is void, voidable or otherwise invalid. The arbitrator will be empowered to grant whatever relief would be available in court under law or in equity. Any award of the arbitrator(s) will be final and binding on each of the parties, and may be entered as a judgment in any court of competent jurisdiction. If you prevail on any claim that affords the prevailing party attorneys' fees, the arbitrator may award reasonable fees to you under the standards for fee shifting provided by law. Exceptions to Agreement to Arbitrate: You may elect to pursue your claim in small-claims court rather than arbitration if you provide us with written notice of your intention do so. The small-claims court proceeding will be limited solely to your individual dispute or controversy. InsureScope may bring a lawsuit for injunctive relief or other legal action to stop unauthorized use or abuse of the Site or infringement of intellectual property rights without first engaging in the arbitration process described above. Class Action Waiver. You agree to an arbitration on an individual basis. In any dispute, NEITHER YOU NOR INSURESCOPE WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER CUSTOMERS IN COURT OR IN ARBITRATION OR OTHERWISE PARTICIPATE IN ANY CLAIM AS A CLASS REPRESENTATIVE, CLASS MEMBER OR IN A PRIVATE ATTORNEY GENERAL CAPACITY. The arbitral tribunal may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitral tribunal has no power to consider the enforceability of this class arbitration waiver and any challenge to the class arbitration waiver may only be raised in a court of competent jurisdiction. If any provision of this arbitration agreement is found unenforceable, the unenforceable provision will be severed and the remaining arbitration terms will be enforced. Time Limitation. Any claim or dispute arising under these Terms must be initiated for arbitration within two (2) years from its accrual date. Any claim or dispute initiated two (2) years or longer from its accrual date shall be time-barred and dismissed.
14 Waiver/Modification and Severability
No waiver or modification by us of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of ContractScope/InsureScope to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
15 Your Subscription Agreement and Entire Agreement
